Terms & Conditions

1. Services

Synthetix provides software architecture and development (web, mobile, internal systems), AI agent builds, managed hosting, marketing and retainer services. Scope, deliverables, timeline and price for each engagement are agreed in writing before work begins.

2. Payment terms

• Fixed-price projects

  50% deposit before work commences; 50% on completion. The deposit is non-refundable once work has begun, unless Synthetix terminates without cause.

• Retainers

  Billed monthly in advance. Payment due within 14 days. Services pause if payment is more than 30 days overdue.

• Managed hosting

  Billed monthly in advance. Hosting is suspended after 30 days of non-payment and terminated after 60 days, with notice.

• VAT

  All fees are exclusive of UAE Value Added Tax (VAT), which is applied at the prevailing rate where applicable.

3. Intellectual property

On receipt of full payment, all custom code and deliverables created specifically for your project transfer to you. Synthetix retains ownership of pre-existing tooling and libraries, general patterns and know-how, and open-source components under their own licences. We may reference the project in our portfolio unless you request otherwise in writing.

4. Confidentiality

Both parties agree to keep confidential any non-public information received from the other. This obligation survives termination for 3 years and does not apply to information that is public, independently developed, or required to be disclosed by law.

5. Warranties & liability

We perform services with reasonable skill and care. Software is not warranted to be entirely error-free. Our aggregate liability for any claim arising from an engagement is capped at the total fees paid for that engagement in the preceding 12 months. We are not liable for indirect, consequential or loss-of-profit damages. Nothing limits liability that cannot be excluded under UAE law.

6. Hosting service levels

Managed hosting carries a 99.9% monthly uptime target (Starter and Business) or 99.95% (Enterprise), measured excluding notified maintenance windows and force-majeure events. Service credits apply where targets are missed — contact contact@synthetixarchitecture.com within 5 business days of the incident.

7. Termination

Either party may terminate a retainer or hosting plan with 30 days' written notice. Fixed-price scopes may be terminated by mutual agreement; fees for work completed to date are due. We may terminate immediately for non-payment, breach, or unlawful use of our services.

8. Acceptable use

You agree not to use any Synthetix-hosted infrastructure for spam, malware, denial-of-service abuse, or any activity unlawful under UAE law. Breach is grounds for immediate termination.

9. Governing law

These terms are governed by the laws of the United Arab Emirates. Disputes that cannot be resolved informally are subject to the exclusive jurisdiction of the courts of Dubai, UAE. We always try to resolve disputes directly first — contact contact@synthetixarchitecture.com.

10. Changes

We may update these terms. For ongoing clients, material changes are communicated with 30 days' notice; continued use constitutes acceptance.
